Voice Cloning Terms

Xccelerated AI, a company registered in the Dubai International Financial Centre (DIFC), operates Voxbee (www.voxbee.ai), an AI-powered platform for dubbing, translation, and voice content creation, including features like Direct Dub, Dub Studio, Lip Sync, Text to Speech, and Video Captions. These Ethical Guidelines govern the use of Voice Cloning and the AI Marketplace on the Voxbee platform, ensuring responsible and lawful creation and use of AI-generated voices (“Cloned Voices”) and related transactions. We are committed to compliance with the DIFC Data Protection Law 2020 (DPL), EU General Data Protection Regulation (GDPR), California Consumer Privacy Act (CCPA), Brazilian General Data Protection Law (LGPD), and other applicable international laws. By using Voice Cloning or the AI Marketplace, you agree to these Guidelines, our Terms and ConditionsPrivacy Policy, and Cookies Policy.

1. Purpose and Scope

These Guidelines establish ethical standards for:

  • Creating Cloned Voices by recording text provided within the Voxbee application.
  • Listing, licensing, or selling Cloned Voices in the Voxbee AI Marketplace.
  • Ensuring compliance with intellectual property, privacy, and data protection laws.
  • Preventing misuse, fraud, or harm through Voice Cloning or Marketplace activities.

These Guidelines apply to all users, including individuals, businesses, and subscribers to Jumpstart, Buzz Mode, Boss Up, or Vox Elite tiers.

2. Definitions

  • Cloned Voice: An AI-generated voice created using Voxbee’s Voice Cloning feature, based on audio recorded by a user reading text displayed in the application.
  • AI Marketplace: A feature on Voxbee allowing users to license or sell Cloned Voices to other users for use in video content creation.
  • User: Any individual or entity using Voxbee’s Voice Cloning or AI Marketplace features.
  • Content: Audio recordings, Cloned Voices, or related data created or used on the Platform.

3. Ethical Principles

Xccelerated AI is committed to ethical AI use, guided by the following principles:

  • Consent: Voice Cloning requires explicit, informed consent from the user recording their voice within the Voxbee application.
  • Non-Discrimination: Cloned Voices and Marketplace activities must not promote hate, discrimination, or harm.
  • Accountability: Users are responsible for ensuring their actions comply with these Guidelines and applicable laws.
  • Data Protection: Personal data (e.g., voice biometrics) is processed securely, in line with our Privacy Policy and data protection laws.

4. Voice Cloning Requirements

Voxbee’s Voice Cloning feature requires users to record their voice by reading text provided within the application. Uploading pre-recorded audio files is not permitted. Users must adhere to the following:

  • Consent:
    • By recording your voice in the Voxbee application, you provide explicit, informed consent for Xccelerated AI to process the recording to create a Cloned Voice for use in your projects or the AI Marketplace.
    • Consent is collected via a clear, in-app prompt before recording, specifying the intended use (e.g., dubbing, marketplace licensing) and any commercial purposes. You must actively agree to the consent prompt.
    • If recording on behalf of another individual (e.g., an employee or client), you warrant that you have obtained their explicit, written consent and will provide proof (e.g., signed agreement) to Xccelerated AI upon request for auditing purposes, as required by DIFC DPL (Article 23) and GDPR (Article 7).
  • Ownership and Rights:
    • You warrant that you are the voice owner or have legal authorization to record the voice for cloning and that the recording does not infringe third-party intellectual property or privacy rights.
    • Cloning voices of others (e.g., public figures, celebrities, or deceased persons) without their explicit permission or legal authorization is strictly prohibited.
  • Ethical Use:
    • Cloned Voices must not be used for deceptive, fraudulent, or harmful purposes (e.g., deepfakes, impersonation, defamation).
    • Cloned Voices must comply with applicable laws, including DIFC DPL, GDPR, and intellectual property regulations.
  • Labeling:
    • All Content using Cloned Voices must clearly indicate that the voice is AI-generated (e.g., via metadata, visible disclaimers in videos, or audio watermarks) to ensure transparency.
    • Voxbee automatically embeds metadata in Cloned Voices to identify them as AI-generated.

5. AI Marketplace Responsibilities

Users listing or licensing Cloned Voices in the Voxbee AI Marketplace must:

  • Licensing Terms:
    • Provide clear, detailed licensing terms for Cloned Voices offered for sale or licensing, including usage scope (e.g., commercial, non-commercial), duration, geographic restrictions, and any limitations.
    • Ensure terms comply with intellectual property laws and are transparent to buyers/licensees.
  • Consent Verification:
    • Confirm in-app consent for your Cloned Voice before listing it in the Marketplace. If the voice belongs to another individual, you must submit proof of their consent (e.g., signed agreement) to Xccelerated AI during the listing process.
    • Xccelerated AI reserves the right to remove listings lacking valid consent or non-compliant terms.
  • Content Moderation:
    • Cloned Voices must not contain or promote illegal, offensive, or harmful content (e.g., hate speech, explicit material).
    • Xccelerated AI may review and remove Marketplace listings that violate these Guidelines or applicable laws without prior notice.
  • Payment and Disputes:
    • Marketplace transactions are processed via Stripe, subject to Stripe’s Terms of Service and our Terms and Conditions.
    • Payments for Marketplace purchases are non-refundable, as outlined in Section 7 of the Terms and Conditions. Disputes must be reported to [email protected] within 15 days of the transaction.
  • Liability: You are solely responsible for disputes arising from Marketplace transactions, including intellectual property, consent, or privacy violations. Xccelerated AI is not liable for such disputes.

6. Data Protection and Privacy

  • Personal Data: Voice recordings and Cloned Voices may contain personal data (e.g., voice biometrics). We process this data securely in compliance with DIFC DPL (Article 10), GDPR (Article 5), CCPA, and LGPD, as detailed in our Privacy Policy.
  • Consent Withdrawal:
    • You may withdraw consent for your Cloned Voice at any time by contacting [email protected] or via your account settings. Upon withdrawal, we will remove the Cloned Voice from the Platform and AI Marketplace, subject to legal retention requirements (e.g., DIFC DPL Article 10).
    • If you provided consent on behalf of another individual, you must notify them of their right to withdraw consent.
  • International Transfers: Data processed for Voice Cloning or Marketplace activities may be transferred to third-party providers (e.g., Stripe for payments, Amplitude for analytics) outside the DIFC or EU. We use DIFC-approved agreements or GDPR-compliant Standard Contractual Clauses (SCCs) to ensure compliance, per DIFC DPL (Article 20) and GDPR (Article 44–50).
  • User Rights: Voice owners and users have rights to access, rectify, erase, or restrict processing of their data, as outlined in our Privacy Policy and Section 10 of the Terms and Conditions. Contact [email protected] to exercise these rights.

7. Prohibited Uses

Users must not:

  • Record voices in the Voxbee application without the explicit consent of the voice owner.
  • Use Cloned Voices for illegal, deceptive, or harmful purposes (e.g., fraud, defamation, harassment).
  • List Cloned Voices in the AI Marketplace without in-app consent or, for third-party voices, proof of written consent.
  • Violate third-party intellectual property, privacy, or publicity rights.
  • Misrepresent AI-generated voices as human or remove AI-generated metadata/disclaimers.
  • Attempt to bypass Voxbee’s in-app recording process (e.g., by manipulating audio inputs).

Violations may result in immediate removal of Cloned Voices, Marketplace listings, account suspension, or termination, as per Section 13 of the Terms and Conditions.

8. Monitoring and Enforcement

  • Monitoring: Xccelerated AI reserves the right to monitor Voice Cloning and AI Marketplace activities using automated and manual reviews to ensure compliance with these Guidelines.
  • Enforcement: Violations may lead to:
    • Removal of Cloned Voices or Marketplace listings without notice.
    • Account suspension or termination.
    • Reporting to authorities if required by law (e.g., DIFC DPL, GDPR).
  • Reporting Violations: If you suspect misuse of Voice Cloning or the AI Marketplace, contact [email protected] immediately.

9. User Responsibilities

  • Compliance: You are responsible for ensuring your use of Voice Cloning and the AI Marketplace complies with these Guidelines, applicable laws, and third-party rights.
  • Consent Documentation: For Cloned Voices of third parties, maintain records of written consent (e.g., signed agreements) for at least 2 years, as Xccelerated AI may request these for compliance audits under DIFC DPL or GDPR.
  • Indemnification: You agree to indemnify Xccelerated AI against claims arising from your misuse of Voice Cloning or the AI Marketplace, as per Section 18 of the Terms and Conditions.

10. Intellectual Property

  • Ownership: You retain ownership of Cloned Voices created from your recordings, subject to the license granted to Xccelerated AI for processing and hosting, as per Section 8 of the Terms and Conditions.
  • Marketplace Licensing: Buyers/licensees of Cloned Voices in the AI Marketplace receive only the rights specified in the licensing terms. Xccelerated AI does not transfer ownership or additional rights.
  • Disputes: You are solely responsible for resolving intellectual property disputes related to Cloned Voices. Xccelerated AI is not liable for such disputes.

11. Payment and Refund Policy

  • Payments: Payments for Voice Cloning setup (e.g., credits used) or AI Marketplace transactions are processed via Stripe and are non-refundable, as outlined in Section 7 of the Terms and Conditions.
  • Disputes: Billing disputes must be reported to [email protected] within 15 days of the transaction. Xccelerated AI is not obligated to provide refunds but may offer credits at our sole discretion, subject to Stripe’s dispute resolution process. You acknowledge that chargebacks initiated via Stripe may incur fees, for which you are responsible.

12. Updates to Guidelines

We may update these Ethical Guidelines to reflect changes in legislation, our practices, or Platform features. Significant changes will be notified via email or the Voxbee platform at least 30 days before taking effect. The latest version is available at www.voxbee.ai/ethical-guidelines.
