Terms of Service

1. ACCEPTANCE OF TERMS

Xccelerated AI Ltd. ("Company," "we," "us," or "our") is a company incorporated and registered in the Dubai International Financial Centre ("DIFC"), United Arab Emirates, operating the Voxbee platform ("Voxbee," the "Platform," or the "Services"), accessible via the marketing site at https://voxbee.ai and the web application at https://app.voxbee.ai.

By accessing or using Voxbee, you agree to be bound by these Terms. If you do not agree to all of these Terms, you must not use the Services. These Terms apply to all users of Voxbee, including browsers, customers, agencies, enterprise customers, vendors, and other third parties. If you use the Services on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization to these Terms.

2. CHANGES TO THESE TERMS

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by updating the "Last Updated" date and providing prominent notice, such as email notification or an in-app alert. Your continued use of the Services after any such modifications constitutes your acceptance of the updated Terms. For non-material changes, we may simply post the updated Terms on the Services without specific notification.

3. DESCRIPTION OF SERVICES

Voxbee is a holistic marketing and campaign orchestration engine, combining an AI Marketing Copilot with a suite of AI-powered content production tools so teams can plan, generate, edit, localize, publish, and optimize campaigns end-to-end. The Services include but are not limited to:

• Marketing Copilot: The operating layer inside Voxbee that turns brand intelligence gathered from your digital footprint into a live, running campaign. It connects brand intelligence, campaign planning, content creation, localization, publishing, and optimization in one linked workspace, so copy stays on-brand, visuals stay aligned, and localized content preserves the original campaign message across markets. Marketing Copilot continuously learns from your brand and campaign activity to improve future recommendations.
• Image Gen: Create high-resolution visuals from text prompts or transform existing images through image-to-image generation. Define your style, generate platform-optimized sizes for social, ads, and digital channels, and use outputs directly as references for video creation, all without touching a design tool.
• Video Lab: Generate short-form video content from prompts, images, or source footage in a single seamless flow. Quickly generate, transform, and refine visuals for any use case. Create high-quality videos without switching platforms.
• Edit Studio: A comprehensive editor built into your production workspace. Edit videos, images, and text to create production-ready content with tools to trim, reformat, resize, and finalize assets for any channel without leaving Edit Studio. Review, adjust, and export every asset exactly as it needs to appear, all in one place.
• Music Studio: Turn a text prompt into a fully produced, original and royalty-free music track. Control mood, genre, instruments, tempo, and energy. Add lyrics or keep it instrumental. Music is created in minutes and ready to use in any format.
• Podcast Pro: Generate solo, co-hosted, or multi-voice podcast episodes directly from a script, blog, or idea using natural AI voices or your cloned voice. Review and edit each dialogue before the final audio is produced. No microphone, no editing software, and no studio required.
• Motion Mix: Add motion graphics, animated transitions, and dynamic visual effects to your content so it performs the way it looks. Social-first output that moves, engages, and holds attention without a dedicated motion designer or a separate animation tool.
• Audiobooks: Convert long-form text into human-sounding narration with precise control over tone, pace, and style. Emotion-aware AI voices bring written content to life across multiple languages, using natural or cloned voices. No recording studio, no narrators, and no production overhead.
• Localization: Translate, dub, and synchronize existing video or audio into 100+ languages using natural AI voices. Maintain original speech rhythm, tone, and expression. Full lip-sync ensures dubbed content matches on-screen dialogue perfectly. One master asset can be localized for every market without voice actors, studios, or complex post-production.
• Voice Cloning: Create custom voice clones with your own tone and identity. Clone your voice and use it across videos, podcasts, and audiobooks while retaining its unique character. Generate high-quality speech at scale with multiple languages and emotional tones for expressive content. Built for creators, educators, and brands.
• Subtitles: Generate accurate and contextually aware subtitles automatically in multiple languages, with control over font, style, size, and placement. Accessible by default, optimized for silent-view performance on social platforms, and export-ready without manual transcription or syncing.
• Text-to-Speech: Convert any text into realistic, human-like speech. Choose from a broad voice library or clone your own voice for personalized output. Multiple languages, accents, and vocal variations are supported. Scalable voice content is produced in seconds without a recording session, voice talent booking, or studio.
• Additional Features: Any other tools, features, or services we may introduce from time to time, including new AI models, campaign automation tools, integrations, and enterprise controls.

The Services are provided on an "as-is" and "as-available" basis. Features, functionality, usage limits, and availability may vary depending on your subscription plan, account configuration, and location. We may add, remove, or modify features at any time, including by providing service-specific terms for new products.

4. ELIGIBILITY AND REGISTRATION

4.1 Eligibility

You must be at least 16 years old, or the age of majority in your jurisdiction if higher, to use the Services. By using Voxbee, you represent and warrant that you meet this requirement.

4.2 Account Registration

To access features of the Services, you may need to create a user account. When creating an account, you agree to provide accurate, complete, and current information, maintain the confidentiality of your credentials, notify us immediately of any unauthorized use of your account, and remain responsible for all activity occurring under your account.

5. SUBSCRIPTION PLANS, BILLING, AND CREDITS

5.1 Subscription Plans

Voxbee offers the following subscription plans: Free, Core, Pro, Growth, and Enterprise. Each plan includes a defined feature tier, AI credit allowance or usage scope, storage allocation, support level, and access level to the Services. Full and current details of plan pricing, annual billing options, included credits, top-up pricing, storage, support, and feature availability are displayed on our pricing page and/or within your account and are incorporated into these Terms by reference.

The Free plan is a limited 14-day access plan intended for product evaluation. Paid plans renew on a monthly or annual basis unless cancelled. Enterprise plans are custom quoted and may be governed by an Enterprise Agreement, Order Form, or similar document, which will prevail in case of conflict for enterprise-specific commercial terms.

5.2 Billing and Payment

You authorize us and our payment processors to charge your payment method for subscription fees, top-up credits, taxes, and other applicable charges at the start of each billing cycle or at the time of purchase. All fees are exclusive of applicable taxes including UAE Value Added Tax (VAT) where applicable, unless stated otherwise. If a payment fails, is reversed, or cannot be collected, we may suspend or limit access to the Services until payment is resolved..

5.3 Automatic Renewal, Cancellation, and Refunds

Unless you cancel before the end of the current billing period, your paid subscription will automatically renew for a new billing cycle at the then-current price. You may cancel at any time through your account settings or by contacting support. Cancellation takes effect at the end of the then-current billing period. Except as required by applicable law or expressly agreed in writing, subscription fees, top-up credit purchases, and other charges are non-refundable and non-creditable.

5.4 AI Credits, Usage Limits, and Fair Use

Certain Services are metered through a credit-based system ("AI Credits") and may also be subject to rate limits, usage caps, storage limits, processing thresholds, and fair use restrictions depending on your plan. We may throttle, queue, restrict, or suspend feature access where usage exceeds your plan allowance, top-up balance, rate limit, technical limit, or fair use threshold.
5.5 Credit Expiration and Top-Ups

Included AI Credits, trial credits, and purchased top-up credits are subject to the rules, validity periods, rollover treatment, and expiration conditions described on the applicable pricing page, checkout flow, or enterprise order form. Unless expressly stated otherwise, unused credits may expire and are non-refundable. We may offer the ability to purchase additional credits separately from your recurring plan.

5.6 Data Retention and Storage Cleanup

Voxbee does not provide permanent archiving services. Upon subscription expiration, cancellation, or account downgrade, Voxbee reserves the right to permanently delete or purge generated outputs, source files, and brand intelligence assets from our servers after 30 days of inactivity, without liability to the User.

6. USE OF THE SERVICES

6.1 License Grant

Subject to your compliance with these Terms and applicable law, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal personal or business purposes in accordance with your subscription plan and any applicable service-specific terms.

6.2 Restrictions on Use

• Use the Services for any unlawful purpose or in violation of applicable law.
• Infringe, violate, or misappropriate third-party intellectual property, privacy, or publicity rights.
• Create, upload, or distribute unlawful, harmful, harassing, hateful, exploitative, deceptive, or infringing content.
• Impersonate any person or entity, or misrepresent affiliation, endorsement, or authenticity.
• Circumvent any security feature, safety control, usage restriction, rate limit, technical measure, or plan limitation.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code, models, or systems underlying the Services except where prohibited by law.
• Use unauthorized bots, scrapers, crawlers, or automated systems outside documented or authorized API access.
• Use the Services to build or train competing products or services without written permission.

6.3 Acceptable Use

You are solely responsible for your use of the Services, your inputs, your outputs, and your compliance with applicable laws, platform rules, and third-party rights.

7. SERVICE-SPECIFIC TERMS

The following additional terms apply to certain Voxbee features and workflows. These provisions supplement, and do not limit, the general rules elsewhere in these Terms.

7.1 Voice Cloning
Certain plans include access to voice cloning and synthetic speech features. You may only create or use voice clones where you have all necessary rights, permissions, and consents. Voxbee may request evidence of such consent at any time and may suspend, disable, remove, or refuse to generate outputs using a cloned voice where adequate authorization or consent cannot be demonstrated. If the voice belongs to another person, you are responsible for obtaining that person's explicit, informed consent in advance and retaining proof of that consent. You must not use voice cloning to impersonate, deceive, defraud, harass, or violate any person's rights. Synthetic voice outputs you create using your authorized voice clone belong to you, subject to your plan restrictions and these Terms, while Voxbee retains all rights in the underlying models and technology. 

7.2 Marketing Copilot and Campaign Orchestration

Marketing Copilot is the operating layer inside Voxbee, where the brand intelligence gathered from your digital footprint becomes a live campaign. It connects brand intelligence, campaign planning, content creation, localization, publishing, and optimization in one workspace. Everything in the workflow stays linked to the same brand context so copy sounds on-brand, visuals stay aligned, edited assets stay ready for each placement, and localized content preserves the original campaign message across markets. The more you use Marketing Copilot, the better it understands your brand and campaign patterns.

• Step 1 -- Understand Your Brand: You may provide your website URL and related digital presence data so Voxbee can extract brand identity, tone, products, services, and audience context.
• Step 2 -- Set Your Campaign Direction: Marketing Copilot may propose campaign strategies tailored to your goals and audience, and help structure your campaign calendar and workflow.
• Step 3 -- Create and Edit Content: You may generate copy, visuals, video, audio, and related assets grounded in your brand context and recommended strategy, then refine them within Voxbee's editing tools.
• Step 4 -- Localize and Adapt: Voxbee can localize and adapt campaign assets across languages, placements, and channels within the same workflow.
• Step 5 -- Publish, Track, and Improve: You may publish or schedule campaign content through supported workflows and use resulting performance data to improve future campaigns.

Marketing Copilot recommendations, strategies, analytics, summaries, schedules, and optimization suggestions are generated automatically and are provided for informational and operational assistance only. They do not constitute legal, financial, advertising, marketing, regulatory, or other professional advice. You remain solely responsible for reviewing, approving, and using any recommendation or campaign action.

Where Marketing Copilot or related workflows connect to third-party platforms, channels, or services for scheduling, publishing, distribution, or analytics, you are solely responsible for maintaining the necessary permissions, credentials, and compliance with those third-party terms and policies.

7.3 Content Production Features

Image Gen, Video Lab, Edit Studio, Music Studio, Podcast Pro, Motion Mix, Audiobooks, Localization, Subtitles, and Text-to-Speech are content production and transformation features within the Services. You are solely responsible for the legality, rights clearance, permissions, accuracy, and suitability of all source materials, prompts, reference files, instructions, and outputs used or generated through these features. Commercial use rights, if any, depend on your active plan and the terms displayed on the pricing page, purchase flow, or enterprise agreement.

8. AI SYSTEM TERMS

8.1 AI-Generated Output Disclaimer

Voxbee uses artificial intelligence, including generative and machine learning models, to produce outputs such as text, voice, images, video, music, subtitles, campaign recommendations, and other materials ("AI Outputs"). AI Outputs are generated automatically based on your inputs and configurations and may be inaccurate, incomplete, biased, repetitive, similar to outputs generated for other users, or otherwise unsuitable for your intended purpose. You are solely responsible for reviewing, verifying, editing, and approving AI Outputs before publishing, distributing, or relying on them.

8.2 Model Evolution Disclaimer

The AI models underlying the Services, whether provided by Voxbee or by third-party providers, may be updated, retrained, fine-tuned, or replaced over time. As a result, outputs may change in quality, style, format, tone, structure, or performance, and the same or similar prompt may generate different outputs at different times. Voxbee is not liable for output variation resulting from model evolution or provider-side changes.

8.3 Third-Party AI Model Provider Disclosure

Certain Services may rely in whole or in part on AI models, infrastructure, or processing services provided by third-party AI providers. Where this occurs, your inputs and related output data may be transmitted to and processed by such providers strictly to generate the requested service output, subject to applicable contractual, confidentiality, and data-protection safeguards. Your use of specific content production features remains subject to the Acceptable Use Policies of our third-party AI model providers. Any violation of such third-party policies by your inputs or outputs constitutes a material breach of these Terms, and you agree to fully indemnify Voxbee for any liabilities imposed on us by upstream providers resulting from your misuse.

9. PLATFORM OPERATIONS AND SECURITY

9.1 Service Availability and Maintenance

We aim to provide reliable access to the Services but do not guarantee uninterrupted or error-free availability. We may perform scheduled or emergency maintenance, which may temporarily affect access, performance, or availability. Where practicable, we may provide advance notice of planned maintenance.

9.2 Beta Features
We may offer beta, early access, preview, or experimental features from time to time. Such features may be incomplete, unstable, limited, or discontinued at any time and are provided on an as-is basis without warranty. Additional usage restrictions or terms may apply to beta features.

9.3 API Usage Terms (Enterprise)

API access is available only where expressly included in your plan or separately granted in writing, typically for Enterprise customers. API use is subject to documentation, credential security obligations, plan-specific limits, rate limits, and any applicable enterprise agreement. You are responsible for all activity conducted through your API credentials.

9.4 Audit Logging and Security Monitoring

We may log account, administrative, API, access, and system activities for security, compliance, performance, and troubleshooting purposes. We may also monitor use of the Services to detect abuse, unauthorized access, fraud, platform misuse, and other security risks.

9.5 Abuse Detection and Automated Rate Limiting

To protect the Services and users, Voxbee may apply automated abuse detection, automated rate limiting, throttling, content screening, feature restrictions, temporary suspensions, and related controls. These controls may be triggered by suspicious, excessive, abusive, or non-compliant usage patterns.

9.6 Content Safety and Misuse Detection

We may analyze inputs and outputs using automated systems and, where reasonably necessary, limited human review under confidentiality obligations to detect misuse, including harmful deepfakes, impersonation, fraud, exploitative content, hate content, intellectual property infringement, and other violations of these Terms or applicable law.

10. USER CONTENT AND INTELLECTUAL PROPERTY

You retain ownership of the content, data, prompts, assets, and other materials you upload to or generate through the Services, subject to these Terms and any third-party rights. You grant Voxbee a non-exclusive, worldwide, royalty-free license to host, process, reproduce, transmit, display, and otherwise use your content as necessary to provide, secure, maintain, improve, and support the Services, including fraud prevention, abuse detection, analytics, and product improvement, in accordance with our Privacy Policy and applicable law. Voxbee retains all rights in the Services, software, models, templates, system assets, branding, interfaces, and underlying technology. Certain anonymized customer data may be used for model improvement as described in the Privacy Policy. Notwithstanding the foregoing, Voxbee will not use proprietary inputs, prompts, or generated outputs from Enterprise tier accounts to train, fine-tune, or improve our proprietary machine learning models or third-party foundational models without explicit, written opt-in consent from the Enterprise customer.
11. ENTERPRISE, DATA, AND CONFIDENTIALITY

11.1 Confidentiality (Enterprise Customers)

Where you receive Enterprise services, each party may disclose non-public business, technical, legal, financial, security, or product information that is confidential. Each party agrees to use the other party's Confidential Information only as necessary for the business relationship, protect it with reasonable care, and disclose it only to personnel or advisors with a need to know and who are bound by confidentiality obligations. These obligations do not apply to information that is public through no fault of the receiving party, lawfully received from another source, already known without restriction, or independently developed.

11.2 Data Processing Addendum

Where Voxbee processes personal data on your behalf as a processor or service provider, the terms of our Data Processing Addendum ("DPA") apply and are incorporated into these Terms by reference. In the event of any conflict regarding data processing obligations, the DPA will prevail.

12. THIRD-PARTY CONTENT AND LINKS

The Services may contain or connect with third-party content, platforms, tools, or services. Voxbee is not responsible for third-party content, functionality, or policies, and your use of third-party services is subject to their own terms and privacy practices.

13. WARRANTY DISCLAIMER

THE SERVICES AND ALL RELATED OUTPUTS ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOXBEE DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, COMPLETENESS, AND CONTINUOUS AVAILABILITY.

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOXBEE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS. VOXBEE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF THE FEES PAID BY YOU TO VOXBEE DURING THE TWELVE MONTHS PRECEDING THE CLAIM OR USD $100, TO THE EXTENT PERMITTED BY LAW. Nothing in these Terms shall limit or exclude either party’s liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, gross negligence, willful misconduct, or any other liability which cannot be limited or excluded under applicable DIFC law.

15. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Voxbee and its affiliates, officers, directors, employees, contractors, licensors, and agents from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to your use of the Services, your content, your outputs, your violation of these Terms, or your infringement of any third-party rights.

16. SUSPENSION AND TERMINATION

We may suspend, restrict, or terminate your access to the Services where we reasonably believe you have violated these Terms, applicable law, plan restrictions, payment obligations, or platform safety requirements, or where necessary to protect the Services, other users, or third parties. Upon termination, your right to use the Services ceases immediately, and unused credits may be forfeited except where required by law or agreed in writing.

17. EXPORT CONTROLS AND SANCTIONS

You may not use, export, re-export, or transfer the Services in violation of applicable export control, trade, or sanctions laws. You represent that you are not prohibited from using the Services under applicable sanctions or export laws.

18. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of the Dubai International Financial Centre (DIFC), without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms shall be finally resolved by arbitration under the DIFC-LCIA Arbitration Rules (or successor rules) by one arbitrator seated in the DIFC, conducted in English. If you are using the Services as a consumer, nothing in these Terms limits any mandatory rights available under the laws of your country of residence. Consumers may alternatively bring claims before the courts of their place of residence where required by applicable law.

19. COMPLIANCE WITH LAWS

You agree to use the Services in compliance with all applicable laws and regulations, including those relating to data protection, privacy, intellectual property, advertising, platform conduct, consumer protection, anti-bribery, export controls, and sanctions.

20. FORCE MAJEURE

Voxbee shall not be liable for any failure, interruption, degradation, or delay in performing its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, pandemics, public health emergencies, war, terrorism, civil unrest, labor disputes, governmental actions, changes in law, sanctions, failures of telecommunications or internet services, cyberattacks, denial-of-service attacks, power outages, cloud infrastructure failures, hosting provider failures, third-party service outages, or failures of AI model providers.

During any such event, Voxbee's obligations shall be suspended for the duration of the event and for a reasonable recovery period thereafter. Voxbee will use commercially reasonable efforts to mitigate the effects of any force majeure event and resume performance as soon as reasonably practicable.

21. GENERAL PROVISIONS

These Terms, together with our Privacy Policy, Cookies Policy, DPA, any service-specific terms, and any applicable Enterprise Agreement or Order Form, constitute the entire agreement between you and Voxbee regarding the Services. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Any waiver must be in writing. Voxbee may assign these Terms in connection with a corporate transaction or to an affiliate. You may not assign these Terms without our prior written consent.
